If you act on behalf of a company, you represent that you have authority to bind that company. A signed quotation or proforma invoice and these Terms together form the contract for an order; where they conflict, the signed order documents prevail.<\/p>\n\n            <h2 id=\"s2\"><span class=\"num\">02<\/span>Who may use this site<\/h2>\n            <p>Meiloz operates a business-to-business wholesale model. Our products and services are offered to companies, resellers, brand owners and institutional buyers, not to consumers for retail purchase. We may decline orders or inquiries that appear to be consumer retail purchases, and prices shown or quoted are trade prices excluding local duties and taxes.<\/p>\n\n            <h2 id=\"s3\"><span class=\"num\">03<\/span>Inquiries and quotations<\/h2>\n            <p>Inquiries submitted through this site are non-binding requests for information. We aim to respond within one working day. Quotations are valid for <strong>30 days<\/strong> from issue unless stated otherwise. Prices are quoted in USD on FOB or CFR terms as specified, and exclude import duties, taxes and destination clearance costs. Tooling prices for molds are quoted separately and are prepaid.<\/p>\n\n            <h2 id=\"s4\"><span class=\"num\">04<\/span>Samples and confirmation<\/h2>\n            <ul>\n                <li><strong>Stock samples<\/strong> ship within 3 days of request; if an item is out of stock, allow 15 days.<\/li>\n                <li><strong>Custom sampling<\/strong> takes 25-35 days after design confirmation.<\/li>\n                <li><strong>Mold fees are prepaid and include 2 free confirmation samples<\/strong>; small molds start at $150.<\/li>\n                <li><strong>Freight for samples<\/strong> is borne by the Buyer unless agreed otherwise.<\/li>\n                <li>Production begins only after written approval of a confirmation sample or an approved digital proof.<\/li>\n            <\/ul>\n\n            <h2 id=\"s5\"><span class=\"num\">05<\/span>Orders, MOQ and lead times<\/h2>\n            <ul>\n                <li><strong>Minimum order quantity:<\/strong> 500 pcs per model for custom private-label production; 1,000 pcs for standard public-mold products.<\/li>\n                <li><strong>Mold making:<\/strong> approximately 30 days.<\/li>\n                <li><strong>Mass production:<\/strong> 35-55 days standard, 45-60 days for complex custom projects, counted from the later of deposit receipt, sample approval or final artwork confirmation.<\/li>\n                <li><strong>Indicative sea freight:<\/strong> 15-30 days to the USA, 25-35 days to Europe, 45-55 days to South America. Other lanes are quoted per route.<\/li>\n                <li>Reasonable quantity tolerance of \u00b13% on mixed packing applies to cast and enameled goods due to production realities; the invoice follows actual shipped quantity.<\/li>\n            <\/ul>\n\n            <h2 id=\"s6\"><span class=\"num\">06<\/span>Payment terms<\/h2>\n            <p>Standard terms are <strong>T\/T: 40% deposit on order confirmation and 60% balance against a copy of the Bill of Lading<\/strong>. Mold fees are prepaid in full. All bank and conversion charges on the Buyer&#8217;s side are the Buyer&#8217;s responsibility. We may suspend production if a scheduled payment is more than 15 days overdue after written notice.<\/p>\n\n            <h2 id=\"s7\"><span class=\"num\">07<\/span>Shipping, title and risk<\/h2>\n            <p>Unless a written agreement states otherwise, sales are on Incoterms 2020 FOB or CFR terms. Risk of loss and title pass to the Buyer when goods are delivered to the carrier at the port of shipment, per the applicable Incoterm. The Buyer is responsible for import clearance, destination registration, duties and any market-entry documentation beyond the FDA, LFGB, EAC and factory-audit documents we supply with the order.<\/p>\n\n            <h2 id=\"s8\"><span class=\"num\">08<\/span>Quality, inspection and warranty<\/h2>\n            <p>Goods are produced from a BSCI-audited factory and tested to FDA (USA) and LFGB (Europe) food-contact standards; EAC conformity documents are supplied for the Eurasian Economic Union market. Buyers may appoint a third-party inspector before shipment at their own cost, with notice at least 5 working days in advance. Meiloz provides a <strong>lifetime warranty against manufacturing defects<\/strong> in normal use. Quality claims must be reported within 30 days of arrival with photographs and batch numbers.<\/p>\n\n            <h2 id=\"s9\"><span class=\"num\">09<\/span>Intellectual property<\/h2>\n            <ul>\n                <li><strong>Our IP.<\/strong> The website content, product photography, catalog designs and our own mold designs are Meiloz property. Buyer may not resell or reproduce our product images for third-party marketing without written permission.<\/li>\n                <li><strong>Buyer&#8217;s IP.<\/strong> Designs, logos and artwork supplied by the Buyer remain the Buyer&#8217;s property. We will produce them only for the Buyer&#8217;s orders and will not offer them to other customers.<\/li>\n                <li><strong>Buyer warranty.<\/strong> The Buyer is responsible for confirming that logos, characters and designs they provide do not infringe third-party rights in their target markets, and indemnifies Meiloz against claims arising from Buyer-supplied artwork.<\/li>\n                <li><strong>Custom molds.<\/strong> Custom molds paid for by the Buyer are used exclusively for the Buyer&#8217;s orders for the lifetime of the mold, and may not be sold to third parties.<\/li>\n            <\/ul>\n\n            <h2 id=\"s10\"><span class=\"num\">10<\/span>Confidentiality and NDA<\/h2>\n            <p>We treat custom projects as confidential by default: design files, molds, Pantone recipes, pricing and order volumes are never disclosed to third parties and never reused for another customer. We will sign a mutual NDA on request before detailed design discussions, and we respect the NDA commitments described in our OEM program terms.<\/p>\n\n            <h2 id=\"s11\"><span class=\"num\">11<\/span>Website use and disclaimers<\/h2>\n            <p>We provide this website on an &#8220;as is&#8221; basis. While specifications, lead times and certification statements are kept current, product colors on screen approximate Pantone targets and final approvals should rely on physical samples. We do not guarantee continuous availability of any public-mold item; discontinued molds are announced to active customers before replacement.<\/p>\n\n            <h2 id=\"s12\"><span class=\"num\">12<\/span>Limitation of liability<\/h2>\n            <p>To the maximum extent permitted by law, our total liability for any claim arising from an order is limited to the invoice value of the affected goods. We are not liable for indirect, incidental or consequential losses, including lost profits, lost sales seasons or downstream marketplace penalties. Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or any liability that cannot lawfully be limited.<\/p>\n\n            <h2 id=\"s13\"><span class=\"num\">13<\/span>Force majeure<\/h2>\n            <p>Neither party is liable for delay caused by events beyond reasonable control, including natural disasters, epidemics, port closures, war, sanctions, government acts, and energy or labor disruptions affecting production or shipping. Affected timelines extend by the duration of the event, and we will propose practical alternatives (partial shipment, route change) in good faith.<\/p>\n\n            <h2 id=\"s14\"><span class=\"num\">14<\/span>Termination and cancellation<\/h2>\n            <p>Either party may withdraw from an open quotation with written notice before deposit. Orders in production may be cancelled only by mutual written agreement, and the Buyer compensates work in progress, purchased materials and custom tooling already made. Deposits for orders cancelled after mold steel is cut are applied to tooling cost already incurred.<\/p>\n\n            <h2 id=\"s15\"><span class=\"num\">15<\/span>Governing law and disputes<\/h2>\n            <p>These Terms and any order are governed by the laws of the People&#8217;s Republic of China, excluding its conflict-of-laws rules. The parties will first attempt good-faith negotiation for 30 days. Unresolved disputes will be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Shanghai, in English unless both parties agree otherwise. The United Nations Convention on Contracts for the International Sale of Goods applies only where neither party excludes it in writing.<\/p>\n\n            <h2 id=\"s16\"><span class=\"num\">16<\/span>Changes to these terms<\/h2>\n            <p>We may update these Terms as our services or applicable law change. The version in effect is the one published on this page at the time an order&#8217;s deposit is received.
